Position:  Underwriting Legal and Documentation Analyst – Private Credit

The candidate would be responsible for providing legal and documentation related support and assistance to the Underwriting team in connection with closing and the ongoing monitoring of private credit transactions.  Support would include filings in connection with a transaction closing, routine documentation and filing maintenance (including UCC continuations), UCC and intellectual property searches, UCC drafting and filing, and overall involvement in transaction closings.  The candidate would be expected to develop relationships and work collaboratively with the multiple Underwriting teams simultaneously.  The candidate would also be looked to assist senior level personnel in identifying opportunities to improve the overall risk oversight, reporting and monitoring of legal and documentation matters related to the firmwide Direct Lending portfolio. 

 

Responsibility:

  • Coordinate, review, and assist in the filing and ongoing monitoring of all UCC financing statements, releases, continuations and amendments on behalf of Apogem in its capacity as a lender and administrative agent
  • Coordinate, perform and analyze UCC and other lien searches on an ongoing basis
  • Assist with the development and ongoing preparation of certain standard form loan / legal documents
  • Assist in ad hoc legal duties/tasks associated with private credit transactional closings
  • Coordinate and assist with documentation for closing and post-closing requirements including maintenance of key documents in secure locations
  • Use Street Diligence functionality to develop and maintain summary level key metrics of legal terms for portfolio wide comparison and analysis purposes
  • Operate as the point person for certain legal related third-party vendors, such as I Lien

 

Qualifications:

  • BA/BS required  
  • Paralegal certificate from ABA accredited paralegal program as well as working knowledge and understanding of Article 9 of the Uniform Commercial Code is preferred
  • Strong interpersonal and verbal communication skills
  • Excellent organizational skills including record keeping, data collection, and system information analysis
  • Analytical skills necessary to analyze and research transactional data and process information
  • Strong work ethic and attention to detail
  • Computer proficient with Microsoft Office (Word, Excel, PowerPoint) as well as experience and working knowledge of I Lien, Westlaw and other commercial finance-related and legal databases is preferred
