The Tax Attorney, Associate General Counsel role sits within the Tax group of the Office of General Counsel. The role is located at 51 Madison Avenue in the New York City home office.


Job Duties:

Engage in a broad range of federal, state and local tax matters, with a particular focus on providing federal tax advice with respect to (i) the taxation of insurance companies under subchapter L of the tax code, with a particular focus on the tax law related to actuarial reserves, deferred acquisition costs (DAC) and the tax consequences of reinsurance and other transactional activity; (ii) financial investments (including partnership investments, private equity and alternative investments, privately and publicly offered debt, real estate investments (including REITs), and various general business tax credit-related investments, and (iii) the foreign and cross-border activities of the company’s insurance and asset management affiliates (including GILTI, subpart F, PFIC  taxation, foreign tax credits, transfer pricing and other related planning); and (iv) IRS audits of large corporate taxpayers.


Experience with (i) the federal taxation of insurance products (life, annuities, long term care and disability insurance) and related recent legislative changes, (ii) the taxation of employee compensation, and (iii) financial accounting for income taxes, is very helpful but not required.


Duties include legal research and writing, drafting and negotiation of tax related contracts and contract provisions in various commercial settings, international tax planning, assessing the tax consequences of financial instruments (including derivatives), mergers and acquisitions, partnership taxation, preparation and drafting of tax claims and IRS audit responses, assistance in the design of insurance and financial products, support of marketing activities, and tax planning and tax risk management in myriad transaction and financial scenarios.


Must be able to work collaboratively and independently with business clients (particularly tax accountants supporting our tax compliance and tax financial reporting areas) and other attorneys in seeking to achieve the company’s business objectives.

Take an active role in tax audits and litigation preparation and settlements, also working with outside counsel when necessary.




At least 8 to 12 yrs. of experience in tax law with a law firm, big 4 accounting firm and/or corporate legal department. Highly skilled and proven negotiator in variety of tax contexts; detail-oriented; a proactive and pragmatic problem solver.

Ability to work independently while being able to contribute successfully to cross-functional teams.

Superior written and oral communications skills, and excellent analytical, problem-solving and interpersonal skills.

Prerequisites include an LL.B. or J.D. degree. An LL.M. in Taxation and/or CPA status (even if currently inactive) is essential as well.
