Job Summary


This corporate attorney will be part of the Corporate Transactions unit of the Office of the General Counsel (“CTU”), which advises and supports the business units of the Company and its subsidiaries in connection with a variety of corporate transactions, including mergers and acquisitions, joint ventures and finance.  This attorney will have exposure to the senior management and will report to the Vice President and Associate General Counsel of the CTU.

Primary Duties and Responsibilities


  • Support the CTU in advising the business units of the Company in connection with acquisitions, divestitures, joint ventures and other strategic transactions.  Duties will include due diligence, structure advice and review and preparation of transaction documents, including confidentiality agreements, engagement letters, term sheets, letters of intent, definitive agreements and disclosure documents.
  • Support the CTU in connection with corporate financing transactions, including credit facilities and the Company’s funding agreement backed medium term note facility.
  • Advise business units on various legal and commercial matters.


Required Qualifications


  • JD with at least three years law firm experience as a corporate transactions attorney drafting agreements and advising clients on merger and acquisition transactions, joint venture and financing transactions, preferably for life insurance and/or investment management clients.
  • Superior research and writing skills.
  • Familiarity with Federal securities laws and New York insurance law.
  • Excellent oral communication skills
  • Ability to interact with a broad range of internal and external personnel with diverse experience.
  • Demonstrated analytical and decision-making skills.
