Key Duties and Responsibilities:

  • Preparing, reviewing, and negotiating documentation relating to formation, warehousing and issuance of collateralized loan obligations (CLOs), for which our investment managers serve as the collateral manager.
  • Preparing, reviewing, and negotiating documentation relating to structured finance transactions, including commitment letters, note purchase agreements, security agreements and intercreditor agreements.
  • Advising investment professionals on transaction terms and deal structuring issues, as well as identifying and assessing risks in transaction terms.
  • Advising on secondary trades, amendments, consents and restructurings.
  • Overseeing external counsel.
  • Working with other company attorneys, as well as Compliance, Risk, Accounting and Tax professionals, on issues relating to CLOs and fixed income investments.

Required Qualifications:

  • JD and admission to the NY Bar are required.
  • At least 7-10 years of experience working as a structured finance/CLO attorney with a law firm and/or another asset manager is required.
  • Expertise in finance and lending transactions is required.
  • Working knowledge of collateralized loan obligations and structured finance investments is required.
  • Superior written and oral communications skills, excellent analytical, problem-solving, and interpersonal skills are required.
  • Willingness to learn new areas of the law is required.
  • Proven record of managing multiple projects while meeting deadlines is required.
  • Familiarity with transportation asset-backed securities, equipment lease and other operating asset financings is preferred.
  • Familiarity with New York insurance laws regarding investments is preferred.
  • Familiarity with risk retention compliant warehouses is preferred.
  • Familiarity with floating rate loan and high yield bond credit documentation is preferred.
  • Familiarity with LSTA documentation is preferred.
  • Experience with asset management, including familiarly with the Investment Advisers Act, is preferred.
