The Office of the General Counsel (OGC) is responsible for all legal functions within New York Life.  The Real Estate Group within OGC provides legal support for all real estate investments and corporate real estate managed by New York Life Real Estate Investors, a division of NYL Investors LLC.  These investments include mortgage, mezzanine and structured financing, CMBS, real property acquisitions, dispositions, fund formation and governance, loan servicing, asset management and leasing related activities.


New York Life is looking for an experienced, dynamic paralegal with exceptional analytical and communication skills.  This is an exciting opportunity to work and develop in an innovative company with a rich history founded upon stewardship, integrity and financial strength. 


  • Coordinate the preparation, delivery and execution of legal documents with the Real Estate business clients.


  • Process original loan files (including delivery of original security instruments to Custodian, follow up with outside counsel to request missing documents and files, preparation of closing index, organization of loan files, including creation of file folder labels, and preparation of closing binders (both hard and electronic copies).


  • Prepare Close-Out Memos to transfer files from the Office of the General Counsel to the Real Estate business clients.


  • Coordinate deliverables in connection with any loan participation, syndication or pledge under a credit facility and/or repurchase facility (including forwarding loan documents and due diligence materials to requesting parties and following up on additional requested deliverables from prospective participant, loan purchaser or facility provider with attorney supervision).


  • Prepare and review Confidentiality Agreements to add standard riders and to advise attorneys of non-standard provisions.


  • Prepare standard Participation Agreements between the Company and its affiliates to document the internal syndication of loan transactions among the Company’s various profit centers.


  • Prepare organizational documents and order related tax ID’s.


  • Review SNDA’s, leases, and other agreements.


  • Prepare engagement letters to outside counsel.


  • Backup loan files for Business Contingency Purposes.


  • Engage in preliminary legal research on various issues raised by attorneys.


  • Investigate source and background of a variety of legal notices and litigation motions received in the Home Office and potentially relating to real estate investments.


  • Prepare OGC new litigation memos.


The candidate should have at least 3 years experience as a paralegal, legal assistant or law clerk within a real estate division of a law firm or company.  Additionally, a bachelor's degree is required.
