Job Summary:

The Office of the Corporate Secretary is responsible for all facets of the New York Life Insurance Company Board of Directors meetings and Executive Management Committee meetings and provides legal advice with respect to corporate governance matters.

 

New York Life is looking for an experienced, self-motivated paralegal, preferably with experience in governance or financial services. It is a fast-paced department, and the team has direct exposure to the business and its strategy and works with senior leaders throughout the organization. This role will report to the Associate General Counsel & Assistant Secretary.

 

Primary Duties and Responsibilities:

  • Assist attorneys in preparation and distribution of materials for board meetings and related planning / scheduling matters;
  • Assist attorneys in drafting and revising legal memos and corporate governance documents, including resolutions, reports, talking points, and meeting minutes;
  • Coordinate projects in connection with board meeting initiatives and other corporate governance matters;
  • Conduct periodic legal research and analysis and peer company comparisons on corporate governance related issues; and
  • Ensure most up to date information is included in all corporate governance materials.

 

Skills, Qualifications & Experience:

  • College degree preferred but not required;
  • 1-2 years of experience in a corporate environment;
  • Hard working, team-oriented and highly organized;
  • Superior proofreading skills and the ability to edit documents;
  • Demonstrated ability to approach issues with a rigorous attention to detail;
  • Ability to work collaboratively to achieve team objectives;
  • Focus on accountability, actions and outcomes;
  • Must be able to problem solve, formulate and implement recommendations, with a passion for accuracy and quality;
  • Able to manage and prioritize projects and able to work under time pressure;
  • Ability to work in a very high-paced environment while managing multiple tasks with prompt follow-up;
  • Excellent interpersonal and writing skills, executive presence and the ability to communicate effectively and concisely;
  • Flexibility to work additional hours, as needed, especially in preparation for board meetings;
  • Possess strong computer skills, including Word, Excel and Adobe; and
  • Experience with Boardvantage or Diligent a plus
